1. Scope and distinct balances
These Terms govern the use of coins, message credits and creator payout services provided by Sbsial Portal L.L.C. They supplement the General Terms. The Privacy Notice explains our handling of related information. Creator subscription earnings are also subject to the Creator Subscription Terms. The agreement and commercial appendix accepted for each service govern its earning and settlement conditions.
Coins can be used for the access fees, message credits and Appreciation gifts available through the platform. Global fan message credits can be used across eligible paid conversations; gifted message credits belong to the specified session and follow its rules. Coins, purchased and promotional credits, gifts and creator earnings are separate balances or entitlements. A fan’s credit balance is not a creator payout balance. Paid interactions and creator monetization require legal eligibility, valid authority and compliance with the applicable service and payment-provider conditions.
These Terms do not replace the separate fan, creator or service agreement presented for an interaction, subscription, gift, auction or Deal. The applicable agreement identifies the supplier, purchased benefit and commercial conditions. A wallet label, available balance or creator badge does not itself establish a right to withdraw funds or approval to participate in a restricted service.
2. Purchase and use
Review the offer and transaction disclosures before purchasing or converting value, including what you receive, how it may be used and any restrictions. Use only authorized funds and the payment channels offered for the transaction. An access pass includes message credits only if the offer says so. If your balance is insufficient, any additional purchase requires your authorization.
Coins and credits give you rights to use the specified platform features. They are not offered as bank deposits, investments, freely tradable cryptocurrency or interest-bearing assets. You may not sell, transfer or redeem them except through a feature we expressly provide or as required by law. Any payment or stored-value protection that applies by law remains available. Creator earnings are governed separately.
Purchased coins and unused purchased message credits do not expire with the passage of time. Spending them on an identified service may create access or a session with its own disclosed duration; the end of that service is distinct from expiry of an unused purchased balance. Lawful refunds, transaction reversals and attributable corrections may change a balance. Promotional benefits remain subject to their separately disclosed conditions and cannot be used to disguise expiry of purchased value.
3. Pricing and transaction records
Review the disclosed access fee, separate message charge, duration, clock rule, reply obligation or absence of one, refund outcomes and other material criteria before activation. Chat Pass and Paid Conversations have different response and settlement rules. We do not apply one mode's rules to the other. The recorded transaction and accepted applicable terms govern existing sessions and invitations; later pricing updates apply prospectively as authorized.
The purchase confirmation and accepted transaction terms identify what you authorized. An estimate, cached balance or preliminary quote is not a completed transaction. Before execution, any material change to the transaction presented for approval must be disclosed and authorized as required by the applicable agreement and law. New commercial terms do not silently change an already accepted transaction. Keep the reference provided for a purchase, conversion, gift or payout so an error can be traced.
4. Refunds, returns and reversals
Ordinary no-reply, voluntary closure and other contractual outcomes follow the relevant feature agreement. They do not remove remedies for incorrect or unauthorized charging, failed supply, platform fault, misdescription or statutory rights. Where law requires a monetary refund, restoring platform credits alone is insufficient. Billing-store refund processes apply to store purchases without removing our own obligations.
Balance corrections and contractual returns follow the separately accepted applicable feature terms, the relevant transaction and mandatory law. Corrections must be identifiable, attributable to the affected transaction and recorded without silently rewriting its original history. No duplicate refund or recovery is permitted.
Keep receipts and contact support@sbsial.com for missing value or disputed charges. We may verify proportionate purchase and account evidence. Good-faith billing disputes and statutory remedies are permitted. A chargeback or verified reversal may require adjustment of the corresponding unused value, entitlement or attributable earnings; it does not authorize indiscriminate forfeiture.
A return of coins or message credits is a balance adjustment, not necessarily a refund of the original store payment. We identify the remedy applicable to the transaction. Use Apple’s refund service for Apple-billed purchases or Google Play’s refund guidance for Google Play purchases, and contact Sbsial about its own delivery or account error. Any refund must go to the person or payment route entitled to it under store rules and law; a recipient cannot demand payment of a sender’s refunded purchase merely because they received a gift.
5. Creator earnings and payout
Creator earnings and payouts depend on eligibility, verified transactions and the agreement accepted for the relevant service. That agreement and its commercial appendix govern the financial arrangements. Rules differ between products; earning rights under one service do not establish the same rights under another.
We will make the applicable commercial terms available before activation or commitment. Changes require the notice and acceptance required by the agreement and law and do not retrospectively alter protected transactions or accrued rights. No earnings are guaranteed.
Provide accurate identity, payout and tax information and complete the required verification. We may impose proportionate holds or restrictions for documented payment risk, disputes, fraud, an attributable breach or legal requirements, as permitted by the relevant agreement and law. We provide a review route where lawful and reconcile amounts due when the restriction ends. Incomplete onboarding does not automatically forfeit earned rights.
An adjustment or recovery must have a documented, lawful basis, relate to the affected transaction and avoid duplicate recovery. We may not confiscate unrelated value or impose unagreed penalties. These Terms do not authorize debits from an external bank account or payment card. Account closure does not extinguish required refunds or legitimately payable earnings.
A displayed estimate, pending earning or reserved balance is not necessarily available for payout. Holds must have a relevant, lawful basis, be reviewed when the circumstances change and end when that basis ceases, unless another lawful restriction applies. Where permitted, we explain the affected transactions and review route. We may request necessary verification and supporting records, but a request does not authorize unrelated data collection or indefinite retention. You remain responsible for your own applicable tax obligations. We may report or withhold amounts where law requires and must account for any required withholding.
6. Coin top-ups and recovery
Coin top-ups are one-time purchases through the available Apple or Google Play checkout, not recurring Memberships. Review the store’s offer before confirming. Coins are added after the purchase is verified. If payment is pending, check its status before buying again.
Restore Purchases can restore an eligible Membership; it does not replenish coins you have already spent. An unfinished coin purchase can be recovered through the purchase-verification process. Verified wallet value remains linked to the eligible Sbsial account. Contact support with your receipt if value is missing, without sending passwords or full payment credentials.
A store receipt must correspond to the relevant product and eligible account. A pending or declined store payment does not authorize spending value that has not been delivered. Do not submit an altered receipt, reuse a refunded purchase or deliberately claim the same transaction on unrelated accounts. A retry of the same verified purchase is not a second entitlement. If a store reports a completed purchase but the wallet is not credited, check the purchase status or contact support before making another purchase. We must correct a verified delivery error rather than requiring you to buy the same value again.
7. Appreciation gifts
Send Appreciation purchases a selected catalog gift for an eligible creator using the displayed coin amount, with an optional note. Sbsial Credit on this checkout denotes the spending coin balance, not global message credits or withdrawable creator earnings. An Appreciation gift is separate from session message-credit gifting, paid replies, a Membership and a charitable donation. It does not oblige the creator to reply, supply work or form a personal relationship. You cannot send a gift to yourself or use gifts to simulate purchases or launder funds. Notes must meet the Community Guidelines. Supported history, counts and leaderboard views may display participation; gifting is not an assurance of anonymity or confidential communication. An ordinary completed voluntary gift is not refundable simply because the creator does not reply, subject always to failed supply, unauthorized charging, applicable store rules and mandatory remedies.
Select the intended creator and item carefully and confirm the supported gift transaction. A catalog image or gift name represents the in-app item offered; it does not promise delivery of a physical product, a charitable contribution or a personally redeemable asset. A creator may receive earnings only under their separate accepted agreement. That arrangement does not turn the sender’s coins into a redeemable balance for the recipient or allow users to exchange catalog gifts privately for money or goods.
8. Gift confirmation and creator earnings
A pending or unconfirmed gift is not a confirmed receipt or completed creator earning. Check the same order’s status and follow the supported retry process; a timeout does not prove no charge occurred. Failed orders and any resulting adjustment must remain traceable. The separately accepted creator terms govern any gift-related earning eligibility and treatment, including promotional funding. Message-credit gifts and Appreciation gifts have distinct rules. No earnings guarantee or additional obligation arises from a catalog image or label.
Use the existing order’s supported recovery process after an uncertain result. Repeated attempts to create new orders may be separate purchases; a failed screen or connection does not establish that the earlier order failed. If a gift is cancelled or reversed through an authorized process, we must distinguish the original spend, any returned value and any corresponding creator adjustment. We do not treat a request for review as proof that a gift was fraudulent.
9. Transfer: earnings into coins
The wallet’s Transfer function converts eligible available creator earnings into spending coins for the same user. It is not a transfer to another user, a cash withdrawal or a way to redeem purchased coins. Review and authorize the transaction disclosed by the supported flow; its commercial conditions follow the separately accepted applicable terms. Do not assume coins can be converted back into earnings or withdrawn. An ordinary change of mind does not automatically reverse a valid completed conversion, while errors, unauthorized transactions and mandatory remedies remain reviewable.
Transfer and Withdraw are different instructions. A completed conversion reduces the eligible earnings used and adds the confirmed spending value to the same account. The confirmation, rather than an earlier estimate, records the completed operation. Only available eligible earnings may be converted; pending, reserved or disputed earnings remain subject to their applicable status. Do not submit a fresh conversion merely because a confirmation is delayed. If the result is uncertain, check its reference or ask support to verify it.
10. Withdrawals and payout status
Withdraw applies to eligible earnings, not the spending coin or fan message-credit balance. Complete the supported payout-destination verification and required compliance process. Review the final transaction disclosure before authorizing a request; a preliminary estimate is not confirmation of payment. A pending request is not a completed payout. Eligibility, processing and commercial conditions are governed by the separately accepted creator terms and relevant provider disclosures. Failed or rejected requests and errors must be reconciled under those terms and law; no duplicate payout or recovery is permitted. Contact support about an unexplained status, unauthorized instruction or disputed outcome.
Keep payout instructions accurate and use a destination you are authorized to use that meets the supported ownership and verification requirements. A new, changed, disabled or unverified destination may require further checks before payment. A quote obtained before those checks is not approval of that destination. Tell support promptly about an incorrect or compromised instruction; recovery of a payment already sent depends on the provider and law and cannot be guaranteed. This does not excuse a payment sent incorrectly through Sbsial’s own fault.
11. Separate auction and Deal payments
Memorabilia and Business/Deal payments use their own authorized checkout and separate agreement flow. They are not coin top-ups, message-credit consumption or recurring Memberships. Review the transaction-specific terms before committing. A checkout result does not replace payment confirmation, and a confirmed payment does not itself establish completed delivery or immediately withdrawable earnings. The accepted feature terms govern any deposit, holding, release, refund or nonpayment consequence, subject to mandatory law. A held-payment status is not a representation that Sbsial provides a regulated escrow or insured banking service.
Do not use coins, credits, gifts or an earnings conversion to bypass a transaction’s authorized checkout, eligibility checks or agreement. A payment description or wallet screen does not change whether the underlying transaction concerns digital access, a physical item or a separately negotiated service. Each must use the permitted payment route and applicable disclosures.
12. Changes and closure
We may restrict fraudulent use or discontinue supported functions under the General Terms, while providing any legally required remedy for unused purchased value and final payout. No clause here waives mandatory consumer, withdrawal, payment or unclaimed-property rights. Complaints, Dubai venue, liability and language follow the General Terms.
We give the notice and obtain the acceptance required for material changes. A feature closure does not automatically confiscate an unused purchased balance, an accrued earning or a valid claim. We identify the available use, refund, reconciliation or other lawful resolution for affected value. If an account must be restricted urgently, those outstanding rights remain subject to their lawful treatment. Deleting the app or account is not a withdrawal request, a store-subscription cancellation or confirmation that a transaction has settled.
13. Message-credit authorization and session limits
Message credits are used only through the supported interaction flow. Buying credits does not by itself open a session, pay its access fee or require a creator to reply. An accepted sponsored invitation and a user-funded purchase have different sources of value and follow their respective agreements. Review the relevant offer before accepting either.
A session-specific gifted credit is not a freely transferable credit or a general wallet deposit. Reservation of credits for a message is distinct from completed use. Failed delivery, release of reserved value and the treatment of unused session gifts follow the relevant transaction and separately accepted service rules. We must not deduct twice for the same authorized use or treat an uncompleted attempt as completed merely because a balance was temporarily reserved.
14. Promotions and permitted use
Promotional value is available only under the offer actually made to you. Its eligibility, use restrictions and any expiry must be disclosed; describing a promotion here does not promise one. A promotional balance does not create a payout right or authorize a recipient to redeem it for cash. The separate creator agreement determines whether and how a promotional transaction can generate earnings, without changing the sender’s promised benefit.
Coins and credits are for supported Sbsial features, not an external marketplace or a means of paying for unrelated goods, gambling or prohibited services. Do not sell accounts or balances, arrange fictitious gifts, create circular purchases or coordinate transactions to evade verification or obtain an unearned payout. A private agreement between users cannot authorize these activities or bind Sbsial to an undisclosed payment.
15. Security, restrictions and transaction review
Protect your account and authorization methods and report suspected compromise promptly. Do not knowingly spend value credited by an error, duplicate a valid claim, alter supporting evidence or exploit a delayed update. We may restrict an affected purchase, balance or payout while investigating credible fraud, a payment reversal, a security risk or a legal requirement, within the General Terms and applicable agreement.
A restriction must be proportionate and must distinguish the affected value from independent valid transactions. We provide reasons and a review route where lawful, without disclosing information that would compromise a legitimate investigation or legal restriction. A reporting delay does not automatically extinguish a statutory claim, and an allegation or good-faith refund request does not itself establish fraud. Correcting an error is not authority to recover unrelated value or debit an external payment account without a separate lawful basis.
16. Complaints and the applicable agreement
Contact support@sbsial.com with the transaction reference, issue and resolution sought. Do not send passwords or full payment credentials. We may request proportionate records, explain the relevant status and correct a verified error. Provider review may be needed for a store refund or a payment already sent; referring the issue to a provider does not remove Sbsial’s responsibility for its own obligations.
These Terms govern general wallet and digital-value issues. A separately accepted service agreement governs its specific performance and commercial conditions where they conflict, subject to mandatory law and applicable store rules. No private creator arrangement removes a fan’s mandatory remedy. The General Terms govern liability, law, Dubai jurisdiction and language with their stated exceptions. No clause here promises an earnings level, unrestricted payout access or a right to convert purchased coins into money.
