General Terms
Document version 1
1. Operator and scope
These General Terms are between you and Sbsial Portal L.L.C. (Sbsial, we, us), the operator of the Sbsial social platform, its mobile applications, websites and related services made available under these Terms (Services). Registered in Dubai, United Arab Emirates. Contact: support@sbsial.com. A separately identified operator and agreement govern a service expressly offered by another entity.
2. Agreement and related documents
Please read these Terms and the documents presented with them before accepting. When we require express acceptance, you must accept the version shown to you before using the relevant service. Registration or viewing a page does not replace that acceptance. If you do not agree, you must not use the affected service. Contact support to arrange account closure or resolve any outstanding rights or obligations.
The Community Guidelines govern conduct on Sbsial. The Privacy Notice explains how we handle personal information; acknowledging it does not constitute consent to every use of your data. The Subscriber Terms, Creator Subscription Terms, Coins, Message Credits and Creator Payout Terms and Social Feature Terms apply to their respective activities. Additional fan, creator or service agreements and commercial appendices apply when you accept them for the relevant service.
If these Terms conflict with a service agreement you have accepted, that agreement governs the subject of the conflict, subject to mandatory law. The offer you accept identifies the product and promised performance. Store rules govern store billing, cancellation and refund procedures. A later policy or Help Center update does not, by itself, change the terms already agreed for a transaction. Editorial standards apply to our editorial work, rather than all user posts.
The applicable terms must be presented for acceptance before you create or upload user content and before any restricted service requires a separate agreement. Your acceptance applies to the identified documents and versions. A creator, agent or other user cannot accept for you without lawful authority, or amend our obligations merely by making a statement in a profile or message. Keep the purchase confirmation and agreement information supplied to you; contact support if you cannot access them.
3. Eligibility and authority
You may use the Services only if you meet the age, legal-capacity and other eligibility requirements that apply under law to your account and the relevant activity. You must have legal authority to enter the applicable agreement and obtain any permission or authorization required by law. Purchases, creator monetization, auctions and paid interactions are also subject to the applicable store, payment-provider and service requirements. Do not misstate your age or identity or evade a legal, provider or regional restriction.
If acting for a business or another person, you must have authority to bind them and to operate the account. You and that entity are responsible for actions you authorize, subject to applicable law. Verification or a badge confirms only the verification described by Sbsial; it is not a guarantee of honesty, safety, qualifications, item authenticity or future performance.
Availability of the platform in a country does not establish that every feature, purchase or payout is permitted there. You must satisfy the requirements applicable to your use and must not use false information, another person's identity or technical measures to evade an eligibility restriction. We may decline or restrict a service where its provision would breach applicable sanctions, export restrictions or other law, or where a required eligibility check cannot be completed. Such a restriction remains subject to any lawful refund, reconciliation or review obligation.
4. Accounts and security
Provide accurate required information, keep it current and protect your credentials and recovery methods. Use only accounts you are authorized to operate. Notify support promptly of suspected compromise or unauthorized charges. You are responsible for your conduct and access you authorize, and for reasonable security precautions; you are not automatically responsible for every unauthorized act regardless of fault. We may request proportionate identity, age, payment or eligibility evidence for security, legal compliance and restricted services.
Do not sell, rent or lend an account, share credentials to bypass eligibility, or allow an unauthorized person to operate it. A representative using supported business or creator tools must act within their authority. Notify us when that authority ends. Account names and badges do not confer ownership of a name or mark, and we may require correction of misleading or infringing account information. Recovery requires sufficient evidence of entitlement to the account; we cannot guarantee recovery where ownership cannot be established. Necessary restrictions during a security investigation do not, by themselves, determine liability for a disputed transaction.
5. Permitted use and prohibited conduct
We permit personal participation and commercial activity through the creator, business and monetization tools we make available, subject to their conditions. This does not authorize unsolicited advertising, account resale or access outside approved interfaces.
Do not violate law or the Community Guidelines; infringe intellectual property, privacy or personality rights; impersonate others; manipulate engagement or payments; defraud users; solicit prohibited goods or services; harass, exploit or endanger anyone; introduce malware; attack or overload systems; bypass paywalls, access restrictions or security controls; or harvest personal information. Do not scrape, bulk download, train models on, resell or automate access to Service content without our authorization or a right provided by law. Do not reverse engineer or circumvent protection except to the extent law permits despite this restriction. Good-faith security research must remain within an expressly authorized scope.
These restrictions apply to public posts, private messages, live rooms, paid content and commercial offers. In particular, child exploitation, non-consensual intimate material, sexual solicitation, credible threats, hateful abuse, stalking and scams are prohibited. Payment, privacy settings, a disclaimer or a creator's approval does not permit otherwise prohibited conduct. Do not evade a restriction by creating or using another account, or knowingly assist another person to do so. You may report a suspected vulnerability privately to support, but these Terms do not authorize penetration testing, access to another person's data or disruption of the service.
6. Your content and licence
You retain ownership of content you submit, subject to others' rights. You warrant that you have the necessary rights, permissions and lawful grounds for its submission and permitted use, including rights in music, recordings, likenesses and third-party material. Posting material found online, paying for a recording or crediting its owner does not necessarily provide those rights.
You grant Sbsial a non-exclusive, worldwide, royalty-free licence, transferable with the relevant Service or business and sublicensable to providers assisting us, to host, store, reproduce, transmit, display, distribute and technically adapt your content to operate, secure and improve the Services, consistently with the audience settings and Privacy Notice. Technical adaptations include formatting, transcoding, accessibility and previews. Display of public content in platform discovery is included; this licence does not authorize unrelated advertising endorsements in your name, sale of private communications or unrestricted exploitation outside the Services.
The licence ends when content is deleted from our systems, except for copies shared by others under permitted use, temporary backups and retention necessary for legal obligations, security, dispute evidence or existing lawful transaction access. Retained copies remain subject to applicable privacy and access restrictions. Others may copy content; deletion cannot recall all third-party copies. This licence does not waive statutory moral rights that cannot be waived.
Other users may view and use your content through the sharing, reposting and other functions you deliberately make available, within the selected audience and the rights those functions convey. They do not receive ownership or a general right to copy restricted content, publish private communications, remove rights notices or use your identity as an endorsement. You must obtain the necessary permissions from contributors and participants before granting these rights. A platform tool or device permission is not a substitute for those permissions. Uploading content does not itself entitle you to royalties or earnings; any monetization requires the separately applicable agreement.
7. Sbsial content and application licence
Sbsial and its licensors retain rights in the software, branding and content they own. We grant you a limited, non-exclusive, non-transferable licence to use the application and Services as authorized by these Terms and applicable store usage rules. You may use built-in sharing tools and rights provided by law; you may not redistribute protected software or content without permission. Your paid access is a licence to the specified service or content, not ownership of a creator's intellectual property.
For an app obtained from Apple, the Standard Licensed Application End User License Agreement applies between you and the application provider unless a custom EULA is supplied through Apple. These General Terms supplement the applicable app licence for Sbsial’s Services and do not override its applicable usage rules or mandatory rights. Sbsial is responsible for the service, content and support it is legally required to provide; Apple does not undertake those Sbsial service obligations merely by distributing the app. Other stores’ application and payment terms apply to their own services.
Any rights granted under an applicable open-source licence remain governed by that licence. Access may require a supported software version and necessary security updates. We may restrict an obsolete or insecure version where reasonably necessary to protect the Services, while addressing any legally required remedy for paid access affected by that restriction. You may not use Sbsial's branding to imply an affiliation, sponsorship or endorsement that we have not authorized.
8. Visibility, privacy and communications
Audience choices, feature settings and recipient actions affect visibility. Public posts and profile information may be accessible beyond your followers. Recipients can retain or disclose communications; a paid interaction does not create professional confidentiality. Do not record, publish or commercially use another person's private communication, voice or image without the permissions required by law. We remain responsible for our own lawful handling and security of personal information.
Optional marketing, tracking, device permissions and other processing requiring consent are handled separately. We may send necessary account, security, transaction and legal notices through the Service or contact information you provide. Keep that information current. Marketing choices do not disable essential service notices.
The Privacy Notice describes recommendations, account information, permissions, retention and your privacy rights. These Terms do not create a separate blanket consent to personal-data processing. A recipient's ability to copy information does not release that recipient from privacy, confidentiality or intellectual-property obligations. Use supported report or block controls, or contact support, about unwanted contact or unlawful disclosure; do not assume that blocking recalls content already received.
9. Paid services and creator relationships
Before making a purchase or activating a paid service, review the supplier, product, included benefits, renewal terms and transaction disclosures. Membership provides recurring access to Exclusive Content. Chat Pass and Paid Conversation are separate private-interaction services; Send Appreciation provides catalog gifts; Memorabilia covers auctions; and Business/Deals covers negotiated service requests. Transfer and Withdraw serve different purposes within the earnings wallet. Buying one product does not include another unless the offer expressly says so.
A Membership does not include private replies, meetings or personalized work simply because the creator offers those services separately. Approval to participate as a creator is also separate from purchasing a Membership. Availability depends on your account, location, store and the conditions of the relevant service.
Chat Pass may appear in Arabic as تذكرة الدردشة or اشتراك الدردشة. Both names refer to the same pass, which is separate from an automatically renewing Membership.
Creators are responsible for their content, representations and promised performance. We are responsible for the platform functions we undertake to provide and our legal obligations, including charging and access delivery. We do not guarantee a creator’s opinions, popularity, earnings or future activity. This does not affect a promised service, a required refund or a payment lawfully due.
Use only the purchase and payment routes expressly offered for the service and permitted by applicable store rules and law. A creator cannot authorize an undisclosed charge, alter store billing or make a promise on Sbsial's behalf without our authority. Review the transaction before confirming; an additional charge requires the authorization applicable to that purchase. Report missing access, an incorrect charge or a failed transaction with the relevant receipt or reference. A pending status is not confirmation that no payment occurred. Product-specific refund and cancellation rules apply alongside mandatory rights, and accepting these General Terms does not itself waive a withdrawal or cooling-off right.
10. Moderation, notices and appeals
We may assess content and conduct using automated tools and human review, investigate reports, reduce distribution, restrict features, remove content or suspend accounts for violations, credible safety or security risks, suspected fraud, legal orders or loss of eligibility. Measures may be immediate where necessary. We use proportionate measures and provide reasons and a review route when appropriate and legally required, unless doing so would compromise safety, an investigation or a legal restriction. You may seek review through support@sbsial.com. Statutory complaint and appeal rights remain available.
Report unlawful content or rights infringements with the content location, a description, relevant evidence, your contact details and your authority to act. Do not knowingly submit false notices. We may request further information, preserve evidence and restrict repeat infringement where appropriate. Submission of a notice does not require surrendering your rights or agreeing to shortened statutory deadlines.
A service-specific restriction may affect an interaction, auction or monetization function without suspending the whole account. Content-removal and account-suspension decisions are reviewed by our team; some service restrictions can arise from the relevant operational rules. A restriction or allegation is not, by itself, a finding of criminal wrongdoing. Where lawful, we may preserve necessary records, prevent circumvention and require reasonable evidence before restoring affected access. We do not promise to detect every violation before publication, but this does not remove our applicable moderation or safety obligations.
11. Changes, availability and termination
We may maintain, improve or change the Services and discontinue features. We will give reasonable advance notice of material changes where practicable, except for urgent legal, safety or security action. Material reductions to a paid service require the notice and remedies imposed by the applicable agreement, store rules and law. We will not rely on an update to retroactively alter terms already agreed for a session, accrued creator earnings or completed transactions.
For changes to these Terms, we identify the new version, effective date and material changes and request fresh acceptance where required by your agreement or applicable law. If you decline, you may stop using the affected Service and arrange closure, cancellation and outstanding balances. Deleting the app or account does not itself cancel store billing. We will provide or assist with the applicable cancellation route and address any remedy due for unavailable paid access.
You may close your account through the available account controls or support. Closure or suspension does not extinguish statutory refunds, legally payable earnings or valid claims. Retention, financial reconciliation and permitted recovery follow applicable agreements and law. Content licences for justified retained copies, accrued payment obligations, liability provisions and dispute provisions survive only as needed for their purpose.
We may suspend or terminate access for a material or repeated breach, fraud, a serious safety or security risk, loss of eligibility or a legal requirement. A temporary investigative restriction is distinct from final termination. We consider the nature and seriousness of the matter and the appropriate review and remedy, and give an opportunity to address a remediable breach where reasonably appropriate. Immediate action may be necessary to prevent harm or comply with law. A good-faith complaint, appeal or request for a lawful refund is not, by itself, grounds for retaliation.
12. Third-party services and informational content
Third-party links, stores, payment providers and integrations have their own terms and privacy practices. You decide whether to use them. We do not warrant their independent conduct, but remain responsible for obligations we undertake and liabilities that cannot be excluded. User and editorial content is general information and entertainment unless a specific service states otherwise; it is not personalized legal, medical, financial or other regulated advice. A disclaimer does not excuse unlawful or misleading claims.
An advertisement, recommendation, verification badge or link does not constitute a guarantee of the advertised product, the advertiser's qualifications or a transaction's outcome. Advertisers and creators must make truthful claims, hold required permissions and identify commercial relationships where required. Any advertiser using Ads Manager must comply with its separately applicable terms; approval of an advertisement does not confer a regulatory licence or permit unlawful claims. Do not submit credentials or payment information through an unverified external request.
13. Warranties and liability
We provide the Services with reasonable care and skill and honour the descriptions and rights required by law. We do not guarantee uninterrupted or error-free operation, absolute security or the accuracy of all third-party content. Any exclusion of implied warranties applies only to the extent permitted by law.
To the extent permitted by law, Sbsial is not liable for indirect or consequential loss, loss of business profits, business opportunities or goodwill. Any additional limitation in a service agreement you have accepted applies only within its lawful scope.
Nothing in these Terms excludes or limits liability for fraud, deliberate misconduct, gross negligence, death or personal injury caused by negligence, or any liability or consumer remedy that cannot lawfully be excluded or limited. Required refunds, repayments and legitimately payable earnings remain due. Consumers retain their rights to recover foreseeable loss caused by our breach, as required by applicable law.
Subject to those protections, each party is responsible only for loss attributable to its breach or other legally established responsibility. Take reasonable steps to limit a loss once you become aware of it; any effect of a failure to do so is determined by applicable law. Events beyond our reasonable control may interrupt performance. We will take reasonable steps to limit their impact, but do not guarantee the availability of an independent network, store or provider. Such an event does not authorize indefinite retention of payment for an undelivered service or remove a cancellation or other remedy required by law.
14. Responsibility for third-party claims
If you use the Services in a business or professional capacity, you will indemnify Sbsial and its personnel for reasonable documented third-party claims and associated losses to the extent caused by your unlawful content, infringement or material breach of these Terms. This excludes loss caused by our own breach or fault. This covers reasonable, necessary legal costs and losses established by a binding decision or a settlement properly agreed under this clause, without duplicate recovery. We will give reasonably prompt notice and sufficient information to assess the claim, allow reasonable participation in the defence and mitigate loss. A delay in notice reduces the obligation only to the extent it materially prejudices the defence. Neither party may settle a claim imposing a payment, admission or other obligation on the other without consent, which must not be unreasonably withheld for a reasonable settlement of a covered claim. This business indemnity does not apply to your ordinary consumer use.
15. Law, disputes and language
These Terms are governed by the laws of the United Arab Emirates. The competent courts of Dubai have jurisdiction, subject to any mandatory right to bring proceedings in your place of residence or rely on its consumer protections. Contact support if you wish to seek an informal resolution. You may still seek urgent relief, complain to a regulator or exercise your rights within any legal deadline. These Terms do not require arbitration or waive class-action rights.
English and Arabic versions are provided and are intended to have the same meaning. Any inconsistency will be resolved under applicable law, including mandatory Arabic-language rights and any rule requiring an interpretation favourable to consumers.
An informal complaint is voluntary and does not suspend a legal deadline unless applicable law or a valid separate agreement provides otherwise. Identify the account or transaction, the issue and the resolution sought so we can investigate. Do not send passwords, full payment credentials or unnecessary sensitive material. We may ask for proportionate supporting evidence and communicate through your registered contact. A support response does not amend these Terms unless an authorized agreement expressly does so.
16. General provisions
These Terms and applicable specifically accepted documents constitute the agreement on their respective subjects. No failure to enforce a provision immediately waives it. An unenforceable provision is severed only to the extent necessary without removing mandatory protections. We may transfer this agreement with the relevant business if your rights are not materially reduced and required notice is given. You may not transfer an account or contractual rights without authorization, except where law permits. Nothing creates employment, partnership or authority to bind Sbsial. Contact support@sbsial.com for support, legal notices and complaints.
Notices required for your account or an agreement may be provided through the Service or your registered contact, subject to any form or delivery requirement imposed by law. Optional marketing is governed separately. If we transfer this agreement, the recipient must assume the applicable obligations; any materially different service or additional obligation requires the notice and agreement that the law requires. These general provisions do not exclude liability for a misleading pre-contract statement or remove a representation or right that cannot lawfully be excluded.
